Mandatory takeover bid filed for Compagnie Minière de Touissit shares

The Moroccan Capital Market Authority (AMMC) has announced the filing of a mandatory public takeover bid for the shares of Compagnie Minière de Touissit (CMT) following changes in the company’s shareholder structure.
The proposed mandatory takeover bid was submitted to the AMMC on July 16, 2026, by AYRAD GROUP LIMITED, OSEAD Fund, OSEAD MAROC MINING, and the Moroccan Interprofessional Retirement Fund (CIMR), acting in concert under Article 10 of Law No. 26-03 governing public offers on the stock market.
The filing follows the entry into force on July 13, 2026, of a shareholders’ agreement between AYRAD GROUP LIMITED and CIMR. The agreement resulted in the group exceeding the threshold of 40 percent of the voting rights in CMT, triggering the legal obligation to launch a public takeover offer.
In accordance with Law No. 26-03, the AMMC requested the Casablanca Stock Exchange operator to suspend trading in CMT shares while it reviews the admissibility of the proposed offer. The regulator has 15 trading days to complete its assessment, although the review period may be suspended if the authority requests additional information or supporting documentation from the parties involved.
The publication of the AMMC notice officially marks the start of the offer period. The authority has not yet issued a decision regarding the admissibility or approval of the proposed transaction.
